Freshfields advises Roche on record bond issuance

International law firm Freshfields Bruckhaus Deringer has advised Swiss pharmaceutical company Roche on its recent bond offering, which closed on Wednesday 4 March.

The offering, comprising four Euro-denominated tranches of Notes and one Sterling-denominated tranche of Notes issued by Roche Holdings, Inc. and guaranteed by Roche Holding Ltd, and totalling €11.25 bn and £1.25 bn respectively, was made under Roche’s European Medium-Term Note (EMTN) Programme. The Notes are listed on the regulated market of the Luxembourg Stock Exchange.

Roche intends to use the proceeds from the offering to finance a portion of the pending tender offer for the remaining 44% of the common stock in Genentech, Inc. that it does not already own, as well as to refinance existing debt and for general corporate purposes.

The Freshfields team was led by corporate partner Mark Trapnell, and included senior associate Chen-Lum Hong, and associate Judit Kalman (both corporate).
