Rights issues and other secondary offerings by UK issuers

In 2008, the UK markets saw corporates and, particularly, financial institutions raise unprecedented amounts of capital by way of rights issues and other pre-emptive secondary share offerings. At the same time, there have been proposals for changes to UK law and practice. In this guide, we contrast the key differences between the principal forms of pre-emptive secondary equity offerings, reflect on recent market developments and their likely effects and note a number of practical steps to be considered by issuers who may be contemplating such an offering.
